1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and S & J Computer Associates, doing business as WorkSnap Pro ("we," "us," "our," or "Company"), governing your access to and use of the WorkSnap Pro platform, including our website, applications, and services (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

2. Description of Service

WorkSnap Pro is an invoicing and estimating platform designed for contractors and tradespeople. The Service allows you to:

  • Create and send professional invoices and estimates
  • Accept online payments from your customers
  • Manage customer contacts and information
  • Track payment status and send reminders
  • Access additional features as described on our Features page

Important: WorkSnap Pro is not accounting software. We provide invoicing and payment services only. For bookkeeping, taxes, or payroll, please consult your accountant or use dedicated accounting software.

3. Account Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

You must be at least 18 years old and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

4. Subscription Plans and Pricing

4.1 Plans

WorkSnap Pro offers subscription-based plans, including a free plan with limited features. Paid plans offer additional features and higher usage limits. Current plan details and pricing are available on our Pricing page. Feature limits and availability may vary by plan and are subject to change.

4.2 Free Trial

We offer a 14-day free trial of paid features for new users. Trial length may be extended or modified at our discretion. At the end of your trial, you will need to subscribe to a paid plan to continue using paid features, or your account will revert to the free plan.

4.3 Billing

Paid subscriptions are billed in advance on a monthly or annual basis (as selected). By subscribing to a paid plan, you authorize us to charge your payment method on file. All fees are quoted in U.S. dollars unless otherwise stated.

4.4 Price Changes

We reserve the right to change our prices at any time. Price changes will be communicated to existing subscribers at least 30 days before taking effect. Your continued use after a price change constitutes acceptance of the new pricing.

5. Cancellation and Refunds

5.1 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

  • Your subscription will remain active until the end of your current billing period
  • You will retain access to paid features until that date
  • After the billing period ends, your account will revert to the free plan

5.2 Refund Policy

We offer a 30-day money-back guarantee for new paid subscriptions. If you are not satisfied with the Service within the first 30 days of your paid subscription, you may request a full refund by contacting us at legal@worksnappro.com.

After the initial 30-day period, subscription fees are non-refundable except as required by law or at our sole discretion. No refunds will be provided for partial months or unused time.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Use the Service for any illegal or unauthorized purpose
  • Send fraudulent invoices or engage in deceptive billing practices
  • Upload or transmit viruses, malware, or other harmful code
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the Service or its infrastructure
  • Scrape, harvest, or collect information from the Service without permission
  • Resell, sublicense, or redistribute the Service without authorization
  • Violate any applicable laws, regulations, or third-party rights

We reserve the right to suspend or terminate accounts that violate these terms.

7. Your Content and Data

7.1 Ownership

You retain all ownership rights to the content and data you upload to or create through the Service ("Your Content"), including invoices, estimates, customer information, and business data. We do not claim any ownership rights over Your Content.

7.2 License to Us

By using the Service, you grant us a limited, non-exclusive, royalty-free license to use, process, and display Your Content solely as necessary to provide and improve the Service. This license ends when you delete Your Content or close your account.

7.3 Data Export

You may export Your Content at any time through the Service. We recommend regularly backing up your important data.

7.4 Responsibility

You are solely responsible for the accuracy, quality, and legality of Your Content and the means by which you acquired it.

8. Intellectual Property

The Service, including its original content, features, functionality, design, and branding (excluding Your Content), is and will remain the exclusive property of S & J Computer Associates and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.

Our trademarks, logos, and service marks may not be used without our prior written consent. Nothing in these Terms grants you any right to use our trademarks or branding.

9. Payment Processing

If you use the Service to accept payments from your customers, payments are processed by our third-party payment processor, Stripe. By using payment features, you agree to Stripe's Terms of Service.

Payment processing fees apply and are separate from WorkSnap Pro subscription fees. Current payment processing rates are displayed in your account settings.

We are not responsible for any disputes between you and your customers regarding payments, invoices, or services rendered.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that: (a) the Service will function uninterrupted or error-free; (b) defects will be corrected; (c) the Service is free of viruses or harmful components; or (d) the results from using the Service will meet your requirements.

You use the Service at your own risk. Some jurisdictions do not allow limitations on implied warranties, so some of the above limitations may not apply to you.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL S & J COMPUTER ASSOCIATES, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your use or inability to use the Service
  • Any unauthorized access to or use of our servers and/or personal information stored therein
  • Any interruption or cessation of transmission to or from the Service
  • Any bugs, viruses, or other harmful code transmitted through the Service
  • Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

12. Indemnification

You agree to defend, indemnify, and hold harmless S & J Computer Associates and its officers, directors, employees, agents, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from:

  • Your use of and access to the Service
  • Your violation of these Terms
  • Your violation of any third-party right, including intellectual property or privacy rights
  • Any claim that Your Content caused damage to a third party

13. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

13.1 Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at legal@worksnappro.com. We will attempt to resolve the dispute informally within 60 days.

13.2 Binding Arbitration

If we cannot resolve the dispute informally, you and S & J Computer Associates agree to resolve any claims relating to these Terms or the Service through final and binding arbitration, except as set forth below.

Arbitration will be conducted by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration will be held in New York, New York, or at another mutually agreed location. The arbitrator's decision will be final and binding, and judgment may be entered in any court of competent jurisdiction.

13.3 Class Action Waiver

YOU AND S & J COMPUTER ASSOCIATES AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

13.4 Exceptions

This arbitration agreement does not apply to: (a) claims for injunctive or equitable relief; (b) claims related to intellectual property; or (c) small claims court actions within the court's jurisdiction.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions.

To the extent that arbitration does not apply, you agree that any dispute arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of such courts.

15. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination:

  • Your right to use the Service will immediately cease
  • You may export Your Content before termination takes effect (if given notice)
  • We may delete Your Content after a reasonable period following termination
  • Provisions that by their nature should survive termination will survive (including ownership, warranty disclaimers, indemnity, and liability limitations)

16. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

Your continued use of the Service following the posting of revised Terms means you accept and agree to the changes. If you do not agree to the new terms, you must stop using the Service.

17. Miscellaneous

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and S & J Computer Associates regarding the Service and supersede all prior agreements.

17.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

17.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

17.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

17.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or internet failures.
